Update Know-how Protection:
Transformation of the Directive on the Protection of Trade Secrets into German Law

Delayed by the complicated government formation, the German law maker has now attempted to transform the Directive on the Protection of Trade Secrets (the “Directive”) into German Law. With a draft of the Federal Government, the law maker introduces a new “Trade Secret Law” (Gesetz zum Schutz von Geschäftsgeheimnissen – GeschGehG – the “Draft Bill”). The reasons of the Draft Bill clarify the requirements of the Directive for Germany and incorporate the Directive into the concepts of German national law. For example, the law maker clarifies that trade secrets shall not have the same legal status as intellectual property rights. This article explains the most pertinent of such clarifications.

We recommend to incorporate appropriate internal measures for the protection of a business’s trade secrets as the owner of a trade secret has to provide proof for such protection. For dealing with business partners, we recommend a confidentiality notice on secret documents, an appropriately revised non-disclosure agreement prohibiting re-engineering as well as allowing for audits on protective measures.
